Orios Venture Partners – Manager – Compliance & Legal

About the Role

Orios is looking for a Manager – Legal Compliance to join its team in Mumbai. If you have experience in venture capital, private equity, AIFs, or financial services and enjoy working on investments, fund documentation, and regulatory compliance, this role is for you. This is an opportunity to work at the intersection of law, investments, and venture capital.

What You’ll Do

• Manage fund documents including Term Sheets, PPMs, IMAs, and Contribution Agreements
• Track and implement regulatory changes related to SEBI AIF, RBI, and FEMA
• Work with legal advisors and regulators to ensure timely compliance and statutory filings
• Support investor-related legal and compliance activities
• Draft, review, and negotiate investment documents such as TS, SSHA, SSA, and SPA
• Conduct legal and compliance due diligence for portfolio companies
• Work closely with internal teams and external stakeholders to support investment transactions
• Draft and review agreements with vendors, distributors, referral partners, and service providers
• Support litigation matters by coordinating with external legal counsel
• Assist in Board, Committee, and Shareholder meeting compliances

What We’re Looking For

• LLB mandatory; Company Secretary (CS) preferred
• 7–10 years of legal experience, with 2–3 years in a Venture Capital Fund, AIF, Private Equity, or similar investment platform preferred
• Strong understanding of SEBI AIF Regulations, RBI/FEMA, Corporate Law, Securities Law, and Contract Law
• Experience in drafting, reviewing, and negotiating legal documents
• Strong analytical, communication, and stakeholder management skills
• Ability to manage multiple priorities in a fast-paced environment
